CJECOPLAY SELLER AGREEMENT

This Seller Agreement (the "Agreement") is made and entered into as of the date of acceptance by the Seller (the "Effective Date") by and between CJECOPLAY, a registered business ("Company"), and the undersigned Seller ("Seller").

1. AGREEMENT OVERVIEW

This Agreement sets forth the terms and conditions under which the Seller may list and sell products through CJECOPLAY’s online platform (the "Platform").

2. SELLER MEMBERSHIP & FEES

2.1. To participate as a seller on the Platform, the Seller agrees to pay a non-refundable membership fee of $10 per month.

2.2. This membership grants the Seller access to list and sell products, promotional tools, and customer service support.

2.3. The membership fee will be automatically billed each month, and failure to pay may result in suspension or removal from the Platform.

3. COMMISSION ON SALES

3.1. CJECOPLAY shall retain 15% of the gross sale price (excluding taxes and shipping) from each product sold on the Platform.

3.2. The remaining 85% of the sale price will be remitted to the Seller within [30 DAYS FROM PLACE OF ORDER] via Seller Payment Method.

3.3. Any payment processing fees incurred through third-party providers (e.g., PayPal, Stripe) shall be the responsibility of the Seller.

4. LISTING REQUIREMENTS

4.1. The Seller is responsible for ensuring that product listings are accurate, complete, and compliant with CJECOPLAY's policies.

4.2. The Seller agrees to use eco-conscious materials in their products and provide detailed descriptions of product composition where applicable.

4.3. CJECOPLAY reserves the right to remove or edit listings that do not meet quality or compliance standards.

5. ORDER FULFILLMENT & CUSTOMER SERVICE

5.1. The Seller is responsible for processing, packaging, and shipping orders in a timely manner.

5.2. The Seller must provide accurate shipping estimates and promptly update customers regarding any delays.

5.3. Customer service and return policies must be clearly stated in the product listing.

5.4. CJECOPLAY is not responsible for lost or damaged shipments, and the Seller must handle dispute resolutions directly with the customer unless otherwise agreed upon.

6. INTELLECTUAL PROPERTY & LICENSING

6.1. The Seller retains ownership of all intellectual property related to their designs but grants CJECOPLAY a non-exclusive license to display, market, and promote their products on the Platform.

6.2. The Seller agrees that CJECOPLAY may use product images and descriptions for marketing and advertising purposes.

7. TERMINATION

7.1. Either party may terminate this Agreement.

7.2. CJECOPLAY reserves the right to terminate this Agreement immediately if the Seller violates the terms, engages in fraudulent activities, or fails to meet quality standards.

7.3. Upon termination, the Seller’s product listings will be removed, and any outstanding payments will be settled per the payment schedule.

8. LIABILITY & INDEMNIFICATION

8.1. The Seller is responsible for ensuring their products comply with all relevant laws, safety regulations, and intellectual property rights.

8.2. CJECOPLAY shall not be liable for any damages, injuries, or claims arising from the Seller’s products.

8.3. The Seller agrees to indemnify and hold CJECOPLAY harmless against any legal claims, losses, or expenses resulting from their product listings or transactions.

9. GENERAL PROVISIONS

9.1. This Agreement constitutes the entire understanding between CJECOPLAY and the Seller.

9.2. No modification or waiver of this Agreement shall be effective unless in writing and signed by both parties.

9.3. This Agreement shall be governed by and construed in accordance with the laws of South Africa.

10. ACCEPTANCE

By signing up, the Seller acknowledges that they have read, understood, and agree to comply with the terms set forth in this Agreement.
